Terms for an invite-only B2B rewards service.

These Terms of Service ("Terms") form a binding agreement between you and PartnerTally governing your access to and use of the PartnerTallymobile app, wallet, website, and related services (collectively, the "Service").

By downloading, accessing, or using the Service, you represent that you are authorized to act for yourself and, where applicable, the business account that uses the Service, and that you agree to these Terms.

The Service is intended only for:

• Authorized representatives of verified business entities or partner accounts.
• Users whose credentials were provisioned or approved by the organization behind the account.
• Individuals who are at least 18 years of age.

You agree to:

• Provide accurate and current information when required for account use.
• Protect your credentials and promptly report unauthorized access.
• Ensure that use of the Service through your organization complies with these Terms and applicable law.

PartnerTally provides a private rewards and account-status interface for approved business partners. Depending on the organization and program, the Service may allow you to:

• Review rewards balances and related activity.
• Submit and monitor reward or credit requests.
• Receive account and service notifications.
• Manage credentials and limited account settings made available through the wallet.

PartnerTally does not independently create, guarantee, or redeem rewards. Rewards programs, values, availability, and approval rules are controlled by the organization or integrated platform behind your account.

You may use the Service solely for legitimate business purposes related to your approved partner relationship and account access.

• Accessing your approved account and rewards data.
• Submitting request flows provided inside the wallet.
• Reviewing activity history and service messages.
• Managing notification preferences and account credentials where enabled.

You agree not to:

• Share, sell, or transfer your credentials to another person or entity.
• Reverse engineer, decompile, scrape, or attempt to extract source code or protected data from the Service.
• Use bots, scripts, or automated access tools unless expressly authorized in writing.
• Impersonate another user, organization, or administrator.
• Attempt to access data or controls that belong to another organization or account.
• Use the Service for unlawful purposes or in violation of applicable agreements or law.
• Interfere with the Service's infrastructure, security, or availability.

The Service may connect to third-party systems or organization-managed platforms to display account context, rewards activity, or related data.

• Your organization or its connected platform determines the availability, value, approval, fulfillment, and expiration of rewards.
• PartnerTally acts as the member-facing portal; it does not guarantee that third-party or organization-provided data will always be complete, current, or error free.
• Changes made by your organization or integrated platform may immediately affect the information or access visible in the Service.
• Use of any integrated platform remains subject to that platform's own terms and policies where applicable.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW. PARTNERTALLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error free, secure, or compatible with every device, platform, or network condition. We do not guarantee the availability or redeemability of any reward shown in the Service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTNERTALLY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR USE, ARISING FROM OR RELATED TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF PARTNERTALLY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

We may suspend or terminate access to the Service at any time where reasonably necessary to protect the Service, enforce these Terms, comply with law, or respond to organization-level account changes.

Upon termination:

• Your right to access and use the Service ends immediately.
• Your organization may also revoke your access independently.
• Sections of these Terms that by nature should survive termination will remain in effect, including ownership, disclaimers, liability limits, indemnity, and dispute provisions.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Before filing a formal claim, you agree to contact legal@partnertally.app and attempt to resolve the dispute informally.

If informal resolution does not resolve the dispute, any claim arising from or relating to these Terms or the Service will be resolved by confidential binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.

You and PartnerTally agree that disputes will be brought only on an individual basis and not as part of a class, consolidated, or representative action.
